Welcome to PrepMe, an AI-powered interview preparation platform designed to help professionals improve their interview skills and advance their careers. These Terms and Conditions ("Terms") govern your use of the PrepMe platform, website, and services (collectively, the "Service"). The Service is provided by Openwit Technologies ("Openwit Technologies," "we," "us," or "our").
1. Acceptance of Terms
By using PrepMe, you affirm that you are 16 years of age or older and are capable of entering into a binding contract, or that you have obtained parental or guardian consent if you are a minor. If you are under 16, you may not use the Service.
2. Accounts and Membership
A. Account Creation
You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
B. Account Security
You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your password or account.
C. Termination
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice and liability, for any reason, including without limitation if you breach the Terms.
3. Subscription and Payment Terms
A. Subscriptions
PrepMe may offer paid subscriptions ("Premium Subscriptions"). These subscriptions are billed on a recurring basis (e.g., monthly or annually). By purchasing a subscription, you authorize us (or our third-party payment processor) to charge your payment method for all applicable fees.
B. Billing and Renewals
Subscriptions will automatically renew unless you cancel before the end of the current billing period. You must cancel your subscription through your account settings or by contacting our support team. Cancellation will take effect the day after the last day of the current subscription period.
C. Refunds
All fees are non-refundable, except as required by law or explicitly stated in our refund policy for initial purchases.
4. User Content and License
A. Definition
"User Content" includes any text, images, videos, notes, questions, flashcards, or other material you upload, submit, store, or transmit through PrepMe.
B. Ownership
You retain all ownership rights to your User Content. We do not claim ownership over any of your User Content.
C. License to Openwit Technologies
By submitting User Content, you grant Openwit Technologies a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, modify, adapt, publish, display, distribute, and process your User Content in connection with operating and improving the Service. This includes training and improving our generative AI models, solely for the purpose of enhancing PrepMe features.
D. User Content Standards
You agree not to upload or use the Service to submit any content that is illegal, defamatory, obscene, pornographic, harassing, hateful, or that infringes upon the rights (including intellectual property rights) of any third party.
5. Intellectual Property Rights
A. Service Ownership
The Service, including its design, text, graphics, data, user interface, source code, and all other content provided by Openwit Technologies (excluding User Content), is and will remain the exclusive property of Openwit Technologies and its licensors. The PrepMe name and logo are trademarks of Openwit Technologies.
B. Limited License
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal, non-commercial educational purposes.
6. Prohibited Conduct
You agree not to in any of the following prohibited activities:
- Unauthorized Access: Accessing or using non-public areas of the Service, our computer systems, or the technical delivery systems of our service providers.
- Malicious Activity: Introducing any viruses, trojans, worms, or other destructive material.
- Scraping or Automation: Using any automated system, including 'robots,' 'spiders,' or 'offline readers,' to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
- Cheating or Misrepresentation: Using PrepMe to violate academic honesty policies of any institution, including generating answers to be submitted as your own work without attribution.
- Resale: Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Service for any commercial purpose without express written permission from Openwit Technologies.
7. Disclaimers and Limitation of Liability
A. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" by Openwit Technologies. Openwit Technologies makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, materials, or products included. You expressly agree that your use of the Service is at your sole risk.
B. Accuracy of Content
While PrepMe aims to provide accurate and helpful educational materials, we do not guarantee the accuracy, completeness, or effectiveness of any generated or provided content. The Service is intended as a study aid and should not be the sole basis for critical decision-making or official academic submission.
C. Limitation of Liability
To the maximum extent permitted by applicable law, Openwit Technologies, its affiliates, directors, employees, or licensors will not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, arising from or related to your use of the Service.
8. Indemnification
You agree to defend, indemnify, and hold harmless Openwit Technologies and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to your violation of these Terms or your use of the Service, including, without limitation, your User Content.
